Event Release
In consideration of my participation in the Arctic Wolf sponsored event (“Event”) and/or promotion, I give my consent to Arctic Wolf Networks, Inc. and its subsidiaries or affiliates and their respective directors, officers, employees and agents (collectively, “Arctic Wolf”), and those acting under its authority, to use my name, photograph, voice and/or likeness, without compensation, unless prohibited by law, in any and all advertising and promotional materials relating to the Event and/or promotion, in all media now known or hereafter discovered, without notice, review or approval. I agree to the use of my personal information being provided to the Event organizers and promotion sponsors,their respective agencies, and approved suppliers of Arctic Wolf, and agree to (a) use of my personal information in accordance with Arctic Wolf’s Privacy Notice, (b) receive emails from such parties with information regarding an Event and/or promotion, and (c) use of my information for registration and other business purposes. I certify my ability to accept the invitation to Event and/or promotion at the values indicated in the promotional materials provided by Arctic Wolf with my ethics officer, legal counsel or other authorized individual and my acceptance of this award is compliant with my employer’s policies. I affirm that I am not a government/public sector employee or their family member, or any person acting in an official capacity for or on behalf of any such government, department, agency, or instrumentality.
I acknowledge that I am responsible for all costs and expenses related to any Event, including any cancelation costs and expenses (including airfare) in the event an Event is canceled for any reason, and if a gift is offered, my receipt of any Arctic Wolf branded promotional gifts (for example, shirts, coffee mugs and pens) are permitted under, and not a violation of, my organization’s gifting policies. The invitation to intend an Event is intended for the recipient only and is non-transferable.
Arctic Wolf reserves the right to cancel your Event registration for any reason in its reasonable discretion without penalty. If I am unable to make the Event, I will provide notice of cancellation by providing written notice to Arctic Wolf on or before seven (7) business days prior to event arrival date.
I represent and warrant that I have read and agree to the terms of this and fully understand its contents and I am 18 years of age or older.
GENERAL RELEASE AND INDEMNITY AGREEMENT: IN CONSIDERATION OF MY PARTICIPATION IN THE EVENT, I, ON BEHALF OF MYSELF AND MY EMPLOYER, HEREBY AGREE TO COMPLY WITH ALL LAWS, REGULATIONS, AND ORDINANCES APPLICABLE TO MY EVENT PARTICIPATION AND HEREBY RELEASE ARCTIC WOLF, ITS VENDORS, AGENTS, AND CONTRACTORS FROM ALL ALLEGED AND/OR ACTUAL LIABILITY, CLAIMS, ACTIONS, LAWSUITS, DAMAGES, OR LOSSES, OF ANY KIND (A “CLAIM”), WHICH MAY ARISE FROM MY AND ANY GUEST’S ATTENDANCE AT OR PARTICIPATION IN THIS EVENT. I AGREE TO INDEMNIFY AND HOLD HARMLESS ARCTIC WOLF AGAINST ANY AND ALL LOSSES, LIABILITIES, JUDGMENTS, AWARDS, AND COSTS (INCLUDING LEGAL FEES AND EXPENSES) ARISING OUT OF OR RELATED TO ANY CLAIM OR INJURY RELATED TO PERSONS OR PROPERTY OF ANY KIND, WHETHER IN CONTRACT OR IN TORT, WHICH MAY RESULT FROM MY OR ANY GUEST’S PARTICIPATION IN THE EVENT.
GENERAL TERMS FOR EVENTS AND PROMOTIONS:
Release of Liability: To the maximum extent permitted by applicable law and subject to any applicable Consumer Protection Laws, including the COMPETITION AND CONSUMER ACT 2010 (CTH) SCH 2, and except for any liability which under statute cannot be excluded (in which case that liability is limited to the greatest extent allowed by law), in no event will Arctic Wolf be liable for: (1) any incorrect or inaccurate information, whether caused by participants, printing errors or by any of the equipment or programming associated with or utilized in the Event or promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of an Event; (4) technical or human error which may occur in the administration of an Event; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in an Event or receipt or use or misuse of anything provided by the event organizer or its agencies or any other third parties.
Publicity Release: I understand that Arctic Wolf or its authorized representatives or its promotional partners may conduct interviews and may capture photos and/or videos during the Event. I hereby grant to Arctic Wolf and its authorized representatives the absolute right and permission to use my name, likeness, biographical information, voice, content of any interview, image and/or photograph and any other indicia of persona (“Persona”) or to refrain from doing so, in any manner or media whether existing now or hereinafter developed (including without limitation the World Wide Web and the Internet), worldwide, for trade, advertising and/or promotional purposes. I agree I shall have no rights of review or approval, no Claim to compensation, and no Claim arising out of or resulting from the use, alteration, blurring, distortion or illusionary effect (whether intentional or otherwise) or use in any composite form of my Persona and agree to release and hold Arctic Wolf and its authorized representatives harmless for any and all such use(s).
Nothing in these Event Waiver Terms restricts, excludes or modifies any consumer rights under any statute including the Competition and Consumer Act 2010 (Cth).
Invitations for attendance at an Event are intended for the recipient only. Arctic Wolf reserves the right to cancel an Event registration for any reason in its reasonable discretion.
If Alcohol is present at an Event. Arctic Wolf will make every effort to ensure that alcoholic beverages are not delivered to or served to anyone who is under legal drinking age. By attending an Event, you affirm that (1) you are, and your guest(s) is(are) over the legal drinking age for the location in which an Event is being held, and (2) any alcohol received by you or your guest(s) from representatives of Arctic Wolf is intended for personal consumption and not for resale.
Promotion Specific Rules:
Winner Notification and Verification: Any rewards/prizes are subject to eligibility verification. The winner will be announced at the applicable Event or as otherwise specified within the promotion registration details. The value of a reward/prize may be taxable as income. Failure to respond to a winner notification or properly execute and return any required information/documents within the stated period, or if a potential winner declines a prize, then such entrant will be disqualified, and an alternate winner may be determined. Arctic Wolf reserves the right to disqualify any entrant/potential winner at any time, in its sole discretion, in the event circumstances arise that would constitute a breach of these Event Waiver Terms or otherwise.
Prize Restrictions: All rewards/prizes and monetary values are stated in the currency set forth within the Event details pertaining to such Event. No substitutions or transfer of a reward/prize by winner permitted. Arctic Wolf reserves the right to substitute a reward/prize of equal or greater value, at its sole discretion. Winners will be solely responsible for any applicable federal, state, and local taxes/duties and any other expenses related to the acceptance and use of a reward/prize not specified. Rewards/prizes will be awarded “as is” with no warranty or guarantee, either express or implied offered by Arctic Wolf. All guarantees and warranties for prizes, if any, are subject to the respective manufacturer’s terms and conditions, and winner agrees to look solely to such manufacturer for any such warranty or guarantee claim. In addition, any Brands named within the prize offering are not participants in or a sponsor of the Promotion. Arctic Wolf is not responsible for damage to a reward/prize or loss of a reward/prize after the reward/prize has been emailed/shipped to a confirmed winner. In no event will Arctic Wolf provide any additional compensation to any participant other than the reward/prize being offered. Any reward/prize that is awarded in the form of a gift certificate or gift card is not redeemable for cash and is subject to all terms and conditions of the issuer. Arctic Wolf shall solely determine the specifics of all elements of all rewards/prizes (including timing for fulfillment, as applicable).
Arctic Wolf reserves the right, at its sole discretion, to disqualify any individual: (a) suspected of tampering with the entry process or the operation of any promotion; (b) to be acting in any manner deemed by Arctic Wolf to be in violation of these Event Waiver Terms; (c) to be acting in any manner deemed by Arctic Wolf to constitute unsportsmanlike or disruptive behavior, or with intent to annoy, abuse, threaten or harass any other person.
ANY ATTEMPT BY YOU OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF ANY PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ARCTIC WOLF RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
Arctic Wolf reserves the right to extend, modify or cancel a promotion if for any reason the promotion is undermined by any event beyond Arctic Wolf’s control, including but not limited to fire, flood, epidemic, labor dispute or strike, act of God or public enemy, or any force majeure event or if fraud, misconduct or technical failures destroy the integrity of the program; or if a computer virus, bug, or other technical problem corrupts the administration or security of the program as determined by Arctic Wolf or its agencies, in their sole discretion. In the event the promotion is cancelled, Arctic Wolf reserves the right to award prizes from among all eligible non-suspect entries received prior to the time of the action or event warranting such cancellation.
Arctic Wolf assumes no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user's Internet service provider and/or e-mail client or for insufficient space in user's e-mail account to receive e-mail.
Arctic Wolf is not responsible for any typographical or other error in the printing of the offer, administration of the promotion, or in the announcement of any prizes.
Choice of Law. Except where prohibited by law, promotions are governed by Minnesota law and are subject to all applicable federal, state, municipal and local laws and regulations.
You agree that (1) any and all disputes, claims and causes of action arising out of, or connected with, this promotion or any prize awarded (if applicable) shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the county of Hennepin County, Minnesota, and (2) all issues and questions concerning the construction, validity, interpretation and enforceability of these Event Waiver Terms or the rights and obligations of you in connection with a promotion shall be governed by and construed in accordance with the internal laws of the state of Minnesota without giving effect to any choice of law or conflict of law or provisions that would cause the application of any other state’s laws.
The invalidity or unenforceability of any provision of these Event Waiver Terms shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable or illegal, these Event Waiver Terms shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
